Acceptable Use Policy

Operated by GTM Software Labs, Inc. (“haloplane,” “we,” “us,” “our”). This Acceptable Use Policy (the “AUP”) governs your use of the haloplane platform (the “Service”) and is incorporated into and forms part of the haloplane Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

The Service is built on third-party AI Service Providers and cloud infrastructure. This AUP reflects both haloplane’s own rules and the acceptable use requirements of those upstream providers, which we are required to pass through to you. A violation of this AUP may also constitute a violation of our agreements with those providers, and may require us to suspend or terminate your access.

1. General Obligations

1.1 You will use the Service only for lawful purposes and in accordance with the Terms of Service, this AUP, and all applicable laws and regulations.

1.2 You are responsible for all use of the Service under your account, including use by your authorized users. You will ensure that your authorized users are aware of and comply with this AUP.

1.3 You will use the Service only for your internal business purposes and within the scope of the license granted in the Terms of Service.

2. Prohibited Conduct

You and your authorized users will not, and will not attempt to, do any of the following:

2.1 Unlawful or harmful use

  • Use the Service for any purpose that is unlawful, fraudulent, or deceptive;
  • Use the Service to generate, store, or transmit content that is unlawful, defamatory, obscene, threatening, harassing, or that promotes violence, discrimination, or hatred;
  • Use the Service to stalk, harass, bully, or intimidate any person;
  • Use the Service to facilitate or promote any criminal activity;
  • Use the Service to generate child sexual abuse material (CSAM), or any content that sexualizes minors.

2.2 Intellectual property and rights of others

  • Use the Service in a manner that infringes, misappropriates, or violates any third party’s intellectual property rights, privacy rights, publicity rights, or other rights;
  • Submit Customer Data that you do not have the right to submit or that you are not authorized to process through the Service;
  • Use Outputs in a manner that infringes or misappropriates a third party’s rights.

2.3 Competing use and reverse engineering

  • Use the Service, including any Outputs or Platform Intelligence, to develop, train, fine-tune, or improve any artificial intelligence or machine learning model, system, or service, whether your own or a third party’s;
  • Use the Service to build, operate, or market a product or service that competes with the Service or with any AI Service Provider’s products or services;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, models, prompts, rubrics, constitutional guardrails, or methodology of the Service or any of its components;
  • Scrape, crawl, or use automated means to extract data, content, or other information from the Service, except through APIs we expressly make available for that purpose;
  • Benchmark, evaluate, or test the Service for the purpose of publishing or sharing performance comparisons with competing products, unless we provide prior written consent.

2.4 Prohibited data

  • Submit to the Service any data that you know or reasonably should know falls into a category of data we have identified as prohibited, including but not limited to: data subject to the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulations (EAR) that requires a government license for processing or export; protected health information subject to the Health Insurance Portability and Accountability Act (HIPAA) or equivalent Canadian health privacy legislation, unless we have entered into a specific agreement to process such data; payment card data subject to the Payment Card Industry Data Security Standard (PCI DSS); biometric identifiers used for identification purposes; personal information of children under the age of majority in their jurisdiction;
  • Submit data that is classified or subject to government security clearance requirements;
  • Submit data that you are prohibited by law, regulation, or contractual obligation from processing through a third-party cloud service or AI service.

2.5 High-risk use

  • Use the Service for any purpose where the use or failure of the Service could reasonably be expected to lead to death, personal injury, or serious physical or environmental harm, including but not limited to: the operation or control of critical infrastructure, including energy, transportation, water, or telecommunications systems; medical diagnosis, treatment decisions, or clinical care; autonomous weapons systems or military targeting; real-time safety-critical decision-making in industrial, aviation, or automotive systems;
  • Use the Service to make or inform decisions that have binding legal effect on individuals without meaningful human review, including but not limited to: criminal sentencing or parole determinations; immigration or asylum decisions; determinations of eligibility for credit, insurance, housing, or employment where the Output is used as the sole or primary basis for the decision;
  • Use the Service to generate content that is presented to end users as human-generated when it is not, in contexts where the distinction is material.

2.6 Weapons and weapons of mass destruction

  • Use the Service to develop, design, produce, acquire, stockpile, or deploy weapons, including nuclear, chemical, biological, or radiological weapons, or weapons of mass destruction;
  • Use the Service to research, design, or plan attacks or harmful acts involving weapons or explosive devices;
  • Use the Service to generate instructions, guidance, or technical information intended to assist in the creation, modification, or deployment of any weapon.

2.7 Biometric analysis and surveillance

  • Use the Service to analyze biometric data to infer protected characteristics, including race, ethnicity, religion, sexual orientation, disability, or political affiliation;
  • Use the Service to build facial recognition systems, emotion recognition systems, or other biometric identification or classification systems;
  • Use the Service for mass surveillance or to monitor individuals without their knowledge and consent, except as required by applicable law.

2.8 Elections and democratic processes

  • Use the Service to generate materials intended to mislead voters about the time, manner, place, or eligibility requirements of voting;
  • Use the Service to impersonate election officials, candidates, or government authorities;
  • Use the Service to generate or distribute disinformation campaigns targeting elections or democratic processes.

2.9 Government censorship

  • Use the Service to analyze, identify, or flag specific content for censorship on behalf of a government organization;
  • Use the Service to build tools or systems designed to enable government censorship of speech or expression.

2.10 Security and integrity

  • Attempt to gain unauthorized access to the Service, other users’ accounts, or any systems or networks connected to the Service;
  • Introduce viruses, malware, worms, or other malicious code into or through the Service;
  • Interfere with or disrupt the integrity, performance, or availability of the Service or the data it contains;
  • Circumvent, disable, or interfere with any usage limits, rate limits, Credit metering, access controls, authentication mechanisms, or other security features of the Service;
  • Use the Service in a manner that places an unreasonable or disproportionately large load on our infrastructure;
  • Attempt to probe, scan, or test the vulnerability of the Service or any connected system without prior written authorization.

2.11 Misrepresentation and deception

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Use the Service to generate content intended to deceive, mislead, or manipulate individuals, including but not limited to deepfakes, synthetic media designed to impersonate real individuals, or disinformation campaigns;
  • Present Outputs as the product of human expertise, judgment, or analysis in a manner that conceals the role of AI in generating them, where the distinction would be material to the recipient’s reliance on them.

2.12 Export controls and sanctions

  • Use or access the Service, or permit it to be used, in or for the benefit of any country, region, person, or entity subject to applicable sanctions or trade restrictions maintained by Canada, the United States, or other applicable jurisdictions;
  • Use the Service in violation of any applicable export control laws or regulations;
  • Permit access to the Service by any individual or entity on any applicable restricted-party list, including but not limited to the United States Specially Designated Nationals and Blocked Persons List (SDN List), the Canadian Consolidated Autonomous Sanctions List, or any other applicable restricted-party or restricted-location list;
  • Submit data to the Service that requires a government license to be processed, transmitted, or exported;
  • Use or access the Service from a country or region not supported by the Service’s AI Service Providers. A current list of supported regions is maintained by our AI Service Providers, and access from unsupported regions is prohibited.

3. Customer Data and Outputs

3.1 You are responsible for the Customer Data you submit to the Service and for your use of Outputs. You represent that you have all rights, permissions, and consents necessary to submit Customer Data and to authorize haloplane and its AI Service Providers to process it as described in the Terms of Service.

3.2 You will not submit Customer Data to the Service for the purpose of generating Outputs that you know or reasonably should know will be used in violation of this AUP or applicable law.

3.3 You acknowledge that Outputs are generated by AI and are decision support tools, not final determinations. You are responsible for reviewing, verifying, and approving Outputs before relying on them or distributing them, as described in Section 4 of the Terms of Service.

4. AI Service Provider Requirements

4.1 The Service relies on AI Service Providers whose own acceptable use policies impose restrictions on downstream use. This AUP incorporates and passes through those restrictions. Where an AI Service Provider’s policy is more restrictive than this AUP on a specific point, the more restrictive requirement applies to your use of the Service.

4.2 We maintain a current list of AI Service Providers at haloplane.ai/subprocessors. If we add or change an AI Service Provider, the acceptable use requirements of the new provider apply to your use of the Service from the date of the change. We will give notice of material changes to AI Service Provider restrictions through the mechanisms described in Section 14 of the Terms of Service.

4.3 Without limiting the foregoing, the following requirements reflect current upstream obligations and apply to all users of the Service:

  • You will not use the Service to develop or improve competing AI models or services, as described in Section 2.3;
  • You will not submit prohibited categories of data, as described in Section 2.4;
  • You will not use the Service for high-risk purposes, as described in Section 2.5;
  • You will not use the Service to develop, design, or acquire weapons or weapons of mass destruction, as described in Section 2.6;
  • You will not use the Service to analyze biometric data for prohibited purposes or build prohibited surveillance systems, as described in Section 2.7;
  • You will not use the Service to interfere with elections or democratic processes, as described in Section 2.8;
  • You will not use the Service for government censorship purposes, as described in Section 2.9;
  • You will comply with export control, sanctions, and geographic restrictions, as described in Section 2.12;
  • You will ensure that individuals who rely on Outputs are made aware that they are AI-generated and that factual assertions should be independently verified.

5. Usage Limits

5.1 The Service includes usage limits based on your Plan, including Credit allotments. You will not attempt to circumvent these limits by any means, including creating multiple accounts to obtain additional allotments, automating requests to consume Credits in a manner inconsistent with normal human-directed use, or exploiting errors in Credit metering.

5.2 We reserve the right to throttle or restrict access to specific features if we detect usage patterns that are inconsistent with normal use, that risk degrading the Service for other users, or that suggest an attempt to circumvent usage limits.

6. Monitoring and Enforcement

6.1 We do not proactively monitor the content of your Customer Data or Outputs. However, we may review Customer Data or Outputs where we have reason to believe a violation of this AUP has occurred, where required by law, where necessary to protect the security or integrity of the Service, or where required by an AI Service Provider to verify compliance with its acceptable use requirements.

6.2 If we determine, in our reasonable judgment, that you have violated this AUP, we may take one or more of the following actions:

  • Issue a warning and request that you cure the violation;
  • Remove or disable access to content that violates this AUP;
  • Suspend your access to the Service, in whole or in part, until the violation is cured;
  • Terminate your access to the Service in accordance with Section 10.3 of the Terms of Service.

6.3 Where practical and where the violation is curable, we will give you notice and a reasonable opportunity to cure before suspending or terminating access. However, we may act immediately and without prior notice where: the violation poses a risk of harm to others, to the Service, or to our AI Service Providers; we are required to do so by law or by an AI Service Provider; or the violation involves a breach of Section 2.10 (security and integrity).

6.4 A suspension or termination under an AI Service Provider’s policies may require us to suspend or terminate your access even where we would not otherwise do so. In such cases, we will notify you and, where possible, work with the provider to resolve the issue.

7. Reporting Violations

If you become aware of any use of the Service that violates this AUP, please report it to us at legal@haloplane.ai.

8. Changes to This AUP

We may update this AUP from time to time, including to reflect changes in our AI Service Providers’ acceptable use requirements. For material changes, we will give at least 30 days’ notice through the mechanisms described in Section 14 of the Terms of Service. Non-material changes, including updates required by a change in AI Service Provider policies, take effect when posted. Your continued use of the Service after a change takes effect constitutes acceptance of the updated AUP.
